Welcome to TownBackyard LLC. These Terms of Service ("Terms") govern your use of our website
www.townbackyard.com and our consulting services.
By accessing our website or engaging our services, you agree to these Terms.
1. Services
TownBackyard LLC provides software development and consulting services, including but not limited to:
- Microsoft Azure development and cloud services
- Twilio integration and communication services
- Stripe payment integration
- Web application development
- Custom software solutions
Specific services, deliverables, timelines, and fees will be defined in a separate Statement of Work (SOW)
or project agreement between TownBackyard LLC and the client.
2. Engagement Terms
All consulting engagements are subject to a written agreement that outlines:
- Scope of work and deliverables
- Project timeline and milestones
- Fees and payment terms
- Intellectual property rights
3. Payment Terms
- Payment terms will be specified in your project agreement
- We accept payment via credit card (processed securely through Stripe) and bank transfer
- Invoices are due upon receipt unless otherwise specified
- Late payments may be subject to interest charges as specified in your agreement
4. Refund and Cancellation Policy
Project Cancellation
- Either party may cancel a project with 14 days written notice
- Upon cancellation, the client is responsible for payment of all work completed to date
- Any deposits or prepayments will be applied to work completed; remaining balances will be refunded within 30 days
Refunds
- Refunds for completed work are not available, as consulting services are non-returnable
- If you are unsatisfied with deliverables, we will work with you to address concerns within the project scope
- Disputes regarding deliverables should be raised within 14 days of delivery
Deposits
- Some projects may require a deposit before work begins
- Deposits are non-refundable if the client cancels after work has commenced
- If TownBackyard LLC cancels prior to project completion, unused deposit amounts will be refunded in full
5. Intellectual Property
- Upon full payment, clients receive ownership of custom code and deliverables created specifically for their project, unless otherwise specified
- TownBackyard LLC retains rights to general-purpose code, frameworks, and methodologies
- Pre-existing intellectual property remains the property of its original owner
6. Confidentiality
We treat all client information as confidential. We will not disclose your proprietary information
to third parties without your consent, except as required by law.
7. Limitation of Liability
To the maximum extent permitted by law, TownBackyard LLC shall not be liable for any indirect, incidental,
special, consequential, or punitive damages arising from or related to your use of our services.
Our total liability shall not exceed the amount paid by you for the services giving rise to the claim.
8. Warranty Disclaimer
Our services are provided "as is" without warranties of any kind, either express or implied.
We do not guarantee that our services will meet all your requirements or that any errors will be corrected.
However, we are committed to delivering quality work and will address reasonable concerns within the project scope.
9. Website Use
When using our website, you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the website
- Submit false or misleading information through our contact form
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States,
without regard to conflict of law principles.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting
to this page. Your continued use of our website or services constitutes acceptance of the modified Terms.
